TERMS GOVERNING PAYLATER SHOPPING ON SUPER.MONEY (SplitStore)

These terms ("PayLater Shopping Terms") constitute a legally binding and enforceable arrangement governing Your access to and use of the "PayLater" shopping experience made available on the super.money Platform, and form an integral and material element of, and are to be read in conjunction with, the super.money General Terms of Use and the super.money Privacy Policy. By accessing, browsing, selecting a Product for financing, or placing an Order through the PayLater experience, You irrevocably and unconditionally signify Your acceptance of these PayLater Shopping Terms.

Capitalised terms used but not defined herein shall have the meanings ascribed to them in the super.money General Terms of Use.

1. Nature of the Service and Role of super.money

1.1 Scapic Innovations Private Limited ("Scapic", "We", "Us" or "Our"), which operates the super.money application and related digital properties, constitutes a Lending Service Provider ("LSP") and operates a digital lending application ("DLA") solely for the purpose of facilitating credit products offered by its partner banks and non-banking financial companies (each, a "Lending Partner"). The PayLater experience on the super.money Platform is, accordingly, a credit-facilitation interface and not a retail storefront or marketplace.

1.2 The PayLater experience displays a catalogue of products listed on the Flipkart marketplace operated by Flipkart Internet Private Limited ("Flipkart") solely to enable You to identify goods that are eligible for purchase using a buy-now-pay-later credit facility ("BNPL Facility" or "PayLater"). The products so displayed are presented exclusively as "products eligible for PayLater financing".

1.3 We do not sell, offer for sale, or facilitate the sale of any goods or services, and We do not act as an express or implied agent, marketplace, or intermediary for any seller. We own no inventory, set no prices, and undertake no fulfilment, shipping, or settlement of any Order. Our function is limited to facilitating the extension of credit by the Lending Partner to enable Your purchase.

1.4 The binding contract for the purchase of any Product is concluded exclusively between You and the relevant third-party seller on the Flipkart marketplace, and is governed by the Flipkart marketplace terms of use, shipping policy, returns and refund policy, cancellation policy, product quality and warranty policies, and grievance redressal policy (collectively, the "Flipkart Marketplace Policies"). Although the discovery and financing journey is presented within the super.money Platform, the legal act of sale, contract formation, invoice issuance, and order confirmation are attributed to Flipkart and the relevant seller. The order confirmation is issued by Flipkart (not by Us), and the invoice is issued through Flipkart's system.

1.5 Only users who are already registered with Flipkart and who have accepted the Flipkart Marketplace Policies applicable to the products offered through the PayLater experience are permitted to purchase such products.

2. Key definitions

In addition to the terms defined in the super.money General Terms of Use, the following expressions shall have the meanings set forth below:

2.1 "BNPL Facility" or "PayLater" means the short-term consumer credit facility, in the nature of a buy-now-pay-later or deferred-payment product, extended by the Lending Partner directly to You for the purpose of funding the purchase consideration of an Order.

2.2 "Catalogue" means the set of products listed on the Flipkart marketplace that are made available for discovery and selection through the PayLater experience, as filtered in accordance with the Eligibility Rules and any category-level restrictions or exclusions determined by the Lending Partner.

2.3 "Customer" or "You" means an end-user of the super.money Platform who has been determined to be eligible for the BNPL Facility on the instructions of the Lending Partner in accordance with the Eligibility Rules, and who places an Order through the PayLater experience.

2.4 "Down Payment" means the initial payment (which may be zero) made by You at the time of purchase of a Product, where applicable as part of the relevant offer construct.

2.5 "Eligibility Rules" means the rules, parameters, filters and restrictions determined by the Lending Partner to determine which users are eligible to access the Catalogue and the BNPL Facility, and which products are eligible to be financed.

2.6 "KFS" or "Key Facts Statement" means the key facts statement in respect of the BNPL Facility, in the form prescribed under the RBI Regulations, to be provided to You by the Lending Partner.

2.7 "Lending Partner" means the bank or non-banking financial company appointed from time to time to extend the BNPL Facility to You, in accordance with a separate loan agreement between You and such Lending Partner.

2.8 "Loan" means the financing facility provided by the Lending Partner to You for the purchase of a Product, on the terms set out in the loan documentation executed between You and the Lending Partner.

2.9 "Order" means an order for the purchase of a Product placed by You on the Flipkart marketplace through the PayLater experience.

2.10 "Product" means any product or service listed on the Flipkart marketplace by a third-party seller that forms part of the Catalogue.

2.11 "RBI Regulations" means all present and future notifications, directions, master directions, circulars and guidelines issued by the Reserve Bank of India that are applicable to the Lending Partner, Us and/or the transactions contemplated herein, including without limitation the Reserve Bank of India (Non-Banking Financial Companies – Credit Facilities) Directions, 2025 (including Chapter III thereof).

2.12 "Repayment Amount" means the principal Loan amount together with any interest and other applicable charges payable by You to the Lending Partner pursuant to the loan documentation.

3. Eligibility and account registration

3.1 Access to the PayLater experience is available only to a person who is competent to enter into a legally binding contract under the Indian Contract Act, 1872. By using the PayLater experience, You represent and warrant that You are at least eighteen (18) years of age, are an Indian national and a tax resident of India, are solvent and possess the financial wherewithal to discharge the obligations under the BNPL Facility, and are not a person barred or otherwise prohibited from availing such services under Applicable Law.

3.2 Access to and use of the PayLater experience requires that You hold a valid and active super.money account and a valid and active Flipkart account, and that You have accepted the super.money General Terms of Use and the Flipkart Marketplace Policies.

3.3 Your eligibility to access the Catalogue and to avail the BNPL Facility is determined by the Lending Partner in accordance with the Eligibility Rules. We apply the Eligibility Rules on the instructions of the Lending Partner; the pre-screening so performed is advisory only and does not bind the Lending Partner. The Lending Partner maintains and applies its own independent credit policy and shall, at its sole discretion, decide whether to extend the Loan to You. Such decisions are based on internal eligibility parameters and compliance requirements, and You agree not to dispute the same.

3.4 You represent and warrant that all information supplied by You is true, accurate, current and complete, and that You shall not use any other person's account or credentials at any time.

4. Product and service description; key features

4.1 The PayLater experience enables You to (i) discover and select, from the Catalogue, products eligible for PayLater financing; (ii) apply for the BNPL Facility offered by the Lending Partner; and (iii) upon approval, place an Order on the Flipkart marketplace funded by the BNPL Facility.

4.2 The financing journey, including disclosures, consents and execution of the loan documentation, occurs on the super.money Platform. The underlying commerce transaction (order placement and checkout) occurs on, and is deemed to occur on, the Flipkart marketplace. The financed portion of the purchase consideration is settled by the Lending Partner directly to Flipkart (or to the relevant seller's designated settlement, nodal or escrow account operated in accordance with Applicable Law), and not through any account owned, operated or controlled by Us.

4.3 The Catalogue reflects the products as they appear on the Flipkart marketplace, including the same product descriptions, images, pricing and seller information, subject only to the credit-eligibility filter applied in accordance with the Eligibility Rules. We do not undertake any merchandising, ranking, promotion or discounting of products. Products displayed through the PayLater experience may not earn loyalty rewards (including SuperCoins) that would otherwise be available on a direct purchase through the Flipkart marketplace.

4.4 Your transaction record within the PayLater experience constitutes a loan-servicing and equated monthly instalment ("EMI") management ledger reflecting Your financed purchases, and references the corresponding Flipkart order identification number.

5. Fees, payment obligations and repayment terms

5.1 We do not levy any fee or charge on You in respect of the PayLater facility, including any convenience fee.

5.2 The interest, processing fee, late-payment or penal charges, and all other charges applicable to the BNPL Facility are determined and levied solely by the Lending Partner and are set out in the KFS and the loan documentation provided to You by the Lending Partner. You are required to review the KFS carefully prior to accepting the BNPL Facility.

5.3 You are obligated to repay the Repayment Amount to the Lending Partner in accordance with the repayment schedule and the terms set out in the loan documentation. Your obligation to repay the Loan to the Lending Partner remains binding and unaffected by any dispute relating to a Product, except to the extent the underlying Order is validly cancelled or returned and the financed portion is refunded or adjusted in accordance with the applicable cancellation and refund mechanics.

5.4 Where an Order is cancelled or becomes the subject of a valid return in accordance with the Flipkart Marketplace Policies, the financed portion already settled shall be refunded by Flipkart and/or the relevant seller directly to the Lending Partner (and not to You or to Us), or adjusted or set off in accordance with the agreed reconciliation protocol, and applied towards prepayment of the outstanding Loan. We do not, at any stage, bridge, advance, or guarantee any refund amount.

5.5 You authorise such debits, credits, mandates, standing instructions or e-mandates as may be registered in connection with the BNPL Facility, which shall be used solely for collections in respect of the relevant Loan and shall not be reused or repurposed for any other product or facility.

6. Data privacy and consent

6.1 The collection, storage, usage, transfer and processing of Your personal information in connection with the PayLater experience is undertaken in accordance with the super.money Privacy Policy and Applicable Law, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and the rules made thereunder.

6.2 By availing the PayLater experience, You provide Your prior, explicit and informed consent to the collection of Your personal data and to the sharing and disclosure of such data with the Lending Partner and other Service Providers, solely to the extent reasonably required to facilitate Your discovery of eligible products, the assessment and extension of the BNPL Facility, the servicing and collection of the Loan, and compliance with Applicable Law.

6.3 Data collected in connection with the PayLater experience is utilized exclusively for the purposes disclosed herein and in the super.money Privacy Policy. You may request the revocation of consent to use Your data by writing to support@super.money, following which We will revoke access to Your data, subject to such retention as is required under Applicable Law.

6.4 The processing of Your personal data is limited to that which is reasonably required for the performance of the services contemplated herein, and is undertaken in accordance with reasonable security practices and procedures commensurate with industry standards and Applicable Law.

7. Prohibited uses and user obligations

7.1 You undertake to use the PayLater experience only for lawful purposes and to avail the BNPL Facility only for legitimate transactions undertaken by You or by persons for whom You are legally authorised to act, and not for any fraudulent, false, or unauthorised transaction.

7.2 You shall not (i) provide any false, inaccurate, incomplete or misleading information; (ii) impersonate any person or use another person's account, credentials or payment instrument; (iii) use the PayLater experience in any manner that infringes the rights of any third party or that is unlawful or forbidden under Applicable Law; (iv) introduce any virus, malicious code or other material designed to interrupt, destroy or limit the functionality of any computer resource; or (v) use the PayLater experience in a manner that imposes an unreasonable or disproportionate load on Our infrastructure, or that results or may result in complaints, disputes, reversals, chargebacks, fees, fines, penalties, or other liability to Us, a Lending Partner, Flipkart, or any third party.

7.3 You are solely responsible for safeguarding the confidentiality of Your account credentials and for all activity undertaken through Your account.

8. Customer support and grievance redressal

8.1 We act only as an initial point of contact for queries arising on the super.money Platform and undertake first-level contact of grievances relating strictly to the loan-facilitation and servicing journey. Queries relating to lending (including EMI, repayment, and credit issues) are coordinated by Us with, and resolved by, the Lending Partner, in whom responsibility for grievance redressal in respect of the Loan continues to vest.

8.2 All queries and grievances relating to a Product, including product quality, fitness for purpose, delivery, non-delivery, delayed delivery, after-sales support, warranty, replacement, refund and consumer-grievance redressal, are to be directed to, and shall be the responsibility of, Flipkart and/or the relevant third-party seller in accordance with the Flipkart Marketplace Policies. We do not provide resolution in respect of such Product-related matters and merely redirect such queries; You also retain the option to approach Flipkart directly.

8.3 The contact details of Our nodal grievance redressal officer for digital-lending-related complaints are prominently displayed on the super.money Platform and on Our website.

8.4 The super.money Platform contains a prominent and continuously accessible link redirecting You to the Lending Partner's webpage containing the disclosures prescribed under the RBI Regulations.

9. Disclaimers and limitation of liability

9.1 The super.money Platform and the PayLater experience are provided on an "as is" and "as available" basis. To the maximum extent permitted by Applicable Law, We disclaim all representations and warranties, whether express, implied, statutory or otherwise, including warranties of merchantability and fitness for a particular purpose, and We do not warrant uninterrupted or error-free operation.

9.2 We do not provide, control, or endorse, and are not responsible or liable for, the quality, condition, defects, fitness, merchantability, safety, labelling, delivery, non-delivery, delayed delivery, after-sales support, warranty, or any other aspect of any Product. Any such claim shall lie solely against Flipkart and/or the relevant third-party seller, and You agree not to make Us a party to any such dispute.

9.3 We are not the lender and do not extend the BNPL Facility. The credit assessment, extension, servicing, collection and recovery of the Loan are undertaken by the Lending Partner, and We are not responsible or liable for any act or omission of the Lending Partner in respect thereof.

9.4 We shall not be responsible or liable for any technical issue, failure, error or interruption on the Flipkart marketplace, nor for any delay or loss arising from circumstances beyond Our reasonable control, including any Force Majeure Event.

9.5 To the maximum extent permitted by Applicable Law, in no event shall We be liable for any indirect, incidental, consequential, punitive or special damages, or for any loss of profits, revenue, data or goodwill. All disclaimers, exclusions, indemnities and limitation-of-liability provisions contained in the super.money General Terms of Use shall apply to these PayLater Shopping Terms in their entirety.

10. Indemnity

10.1 You agree to indemnify and keep Scapic, its affiliates, Flipkart and Lending Partners and Service Providers harmless against all damages, liabilities, costs, expenses, claims, suits and proceedings (including reasonable attorney's fees) that may be suffered by Scapic as a consequence of (i) Your violation of these PayLater Shopping Terms or the super.money General Terms of Use; (ii) Your violation of Applicable Law; or (iii) any action or inaction resulting in wilful misconduct or negligence on Your part.

11. Amendments, suspension and termination

11.1 We reserve the right to amend, modify, supplement or replace these PayLater Shopping Terms at any time, with effect from the date of publication on the super.money Platform, subject to Applicable Law. Your continued use of the PayLater experience following any such amendment constitutes Your acceptance thereof.

11.2 We reserve the right to suspend or terminate Your access to the PayLater experience, temporarily or permanently, at Our sole discretion, including where You provide false or incomplete information or violate these PayLater Shopping Terms or Applicable Law.

11.3 You may terminate Your use of the PayLater experience by discontinuing its use; provided that such discontinuance shall not affect any liability or obligation that has arisen prior thereto, including Your subsisting obligation to repay any outstanding Repayment Amount to the Lending Partner.

12. Regulatory disclosures

12.1 This document is published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

12.2 Scapic operates as a Lending Service Provider and operates the super.money Platform solely for the purpose of facilitating credit products offered by its partner banks and non-banking financial companies. Scapic does not sell, offer for sale, or facilitate the sale of any goods or services. The contract for the purchase of goods is between You and the seller on the Flipkart marketplace.

12.3 Lending is undertaken by the Lending Partner, a regulated entity. The list of Lending Partners of Scapic are mentioned prominently on our website.
